1. Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of the Services operated by Viper Group, Inc. (“Viper”).

By accessing or using the Services, you agree to these Terms. If you do not agree, you must not use the Services.

2. Description of Services

Viper provides a digital platform that enables users to discover, request, and arrange access to experiences, services, and offerings made available by third parties.

Viper acts solely as a facilitator and does not act as an agent, broker, fiduciary, or representative of any third-party provider.

Viper does not own, operate, or control third-party providers and does not guarantee availability, pricing, quality, or outcomes.

3. Eligibility & Accounts

  • You must be at least 18 years old to use the Services
  • Certain offerings may require additional eligibility
  • You are responsible for all activity under your account
  • Accounts are personal and non-transferable

Viper may suspend or terminate accounts at its discretion.

4. Requests, Transactions & Payments

All transactions are processed through third-party providers and are subject to their terms and policies.

Viper is not responsible for:

  • Fulfillment by third parties
  • Cancellations, changes, delays, or refunds
  • Acts or omissions of third-party providers

Prices may include service-related fees or commissions.

5. No Professional Advice & No Reliance

Information provided through the Services is for general informational purposes only and does not constitute legal, medical, financial, or professional advice.

Users acknowledge and agree that they are solely responsible for decisions made in reliance on information provided through the Services.

6. Acceptable Use

You agree not to:

  • Use the Services for unlawful purposes
  • Interfere with platform functionality or security
  • Misrepresent identity or eligibility
  • Attempt unauthorized access to systems or data

7. Intellectual Property

All content, software, and materials within the Services are owned by or licensed to Viper and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, revocable license to use the Services for personal, non-commercial purposes.

8. Beta Use

The Services, including the mobile application, are provided in beta form on an “as is” and “as available” basis. Features may be incomplete, unstable, or subject to change, suspension, or removal at any time without notice. Viper makes no guarantees regarding functionality, performance, or continued availability during the beta period.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

VIPER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIPER SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

VIPER’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO VIPER, IF ANY, DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Viper from claims arising out of:

  • Your use of the Services
  • Your violation of these Terms
  • Your interactions with third parties

12. Arbitration & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY.

Any dispute, claim, or controversy arising out of or relating to the Services or these Terms shall be resolved exclusively through binding arbitration on an individual basis, and not in a class, consolidated, or representative action.

You and Viper each waive the right to a jury trial and to participate in any class action or class arbitration.

This provision does not prevent either party from seeking relief in small claims court for eligible claims.

13. Governing Law

These Terms and any dispute arising from them shall be governed by applicable U.S. federal law and, where not preempted, the laws of the state in which Viper maintains its principal place of business, without regard to conflict-of-law principles.

14. Force Majeure

Viper shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, labor disputes, travel disruptions, government actions, system outages, or failures of third-party providers.

15. Modifications

We may modify these Terms at any time. Updated versions will be posted through the Services. Continued use constitutes acceptance.
